Terms of Use

These Terms of Use govern access to and use of the Soaru platform ("Soaru", "platform", "we"), available at soaru.app. By creating an account or using the platform, you agree to these terms. If you do not agree, do not use the platform.
1. What Soaru is (and what it is not)
Soaru is an intermediation marketplace: we connect professional musicians ("musicians") with people and venues that want to hire live music ("clients").
The contract for the musical service is entered into directly between the client and the musician. Soaru is not a party to that contract, does not employ the musicians, is not an event producer, and does not provide musical services. Our role is to offer the infrastructure for search, booking, protected payment, and reviews.
2. Registration and eligibility
- You must be 18 years of age or older and have full legal capacity to create an account.
- The information provided at registration must be true, complete, and kept up to date. An account created with false information may be suspended or terminated.
- The account is personal and non-transferable. You are responsible for keeping your credentials confidential and for all activity carried out on your account.
- Musicians undergo identity verification (including their tax ID) and bank details verification before they can receive payments through the platform.
3. How booking and payment work
- The client chooses the musician, sets the date, duration, and location, and books by paying the full amount in advance.
- The amount is held in escrow with the partner payment processor — it is not kept in a Soaru account, nor passed on to the musician before the show.
- After the event, the client and the musician confirm that the show took place on the platform (double confirmation — see section 5).
- After confirmation, within 24–48 hours of the event date, the system releases the payout to the musician, with Soaru's commission already deducted.
Soaru does not store card data: payment is processed directly by the partner processor in an encrypted environment.
4. Commissions and fees
For the client, Soaru is free: we do not charge a service fee on the booking. Soaru's revenue comes from the commission deducted from the amount paid out to the musician, which varies according to the musician's plan:

The Pro and VIP plans are recurring monthly subscriptions, with prices and benefits shown on the plans page at the time of purchase. The musician can cancel the subscription at any time, keeping the benefits until the end of the period already paid for.
5. Double confirmation
To protect both sides, the release of payment depends on confirmation of the show by both parties: the client and the musician each mark that the show took place. If there is a discrepancy (for example, one party claims the show did not happen), the booking is placed under review and the Soaru team may request evidence from both parties before releasing, withholding, or refunding the amount.
6. Cancellation policy
Cancellation by the client, counted from the event date:

Cancellation by the musician:
- At any time, the client receives 100% of the amount back.
- The cancellation generates a penalty on the musician's profile, visible to future clients.
- 3 cancellations within a 6-month period result in suspension of the musician's account.
This policy does not override rights provided for under applicable law, in particular the Consumer Protection Code.
7. Conduct and content
By using the platform, you undertake not to:
- publish unlawful, defamatory, or discriminatory content, or content that infringes the rights of others;
- use photos, videos, or audio over which you do not hold the rights;
- provide false information in profiles, bookings, or reviews, or manipulate the review system;
- use the platform to arrange the hiring and complete payment outside of it, circumventing escrow protection and the commission — a practice that may lead to account suspension;
- harass, threaten, or disrespect other users or the Soaru team.
We may remove content and suspend or terminate accounts that violate these terms, with notice where possible.
8. Intellectual property
- The Soaru brand, the logo, the layout, and the platform software belong to Soaru. You may not use them without prior written authorization.
- Photos, videos, and audio uploaded by the musician remain theirs. By publishing them, the musician grants Soaru a non-exclusive license to display them on the platform and in materials promoting their own profile.
- The musician declares that they hold the necessary rights over all content they upload, including the image rights of any third parties appearing in the media.
9. Limitation of liability
As an intermediary, Soaru does not guarantee the artistic quality of the show, the attendance of the parties, or the outcome of the event — those obligations rest with the musician and the client between themselves. To the extent permitted by applicable law, Soaru's liability for damages related to a booking is limited to the amount paid for that booking.
Nothing in these terms excludes liabilities that cannot be excluded by law, including those provided for in the Consumer Protection Code where applicable.
10. Account suspension and termination
You may close your account at any time. Bookings in progress follow the cancellation rules in section 6. Soaru may suspend or terminate accounts in the event of a violation of these terms, fraud, or a legal requirement, preserving amounts held in escrow in accordance with the cancellation and dispute rules.
11. Changes to these terms
We may update these terms to reflect changes to the platform or the law. Material changes will be communicated with reasonable notice through the platform's channels. Continued use after the new version takes effect signifies acceptance.
12. Governing law and jurisdiction
These terms are governed by the laws of the Federative Republic of Brazil. For consumer users, the courts of the consumer's domicile are chosen, in accordance with the Consumer Protection Code. For other cases, the parties shall choose the competent jurisdiction in accordance with Brazilian law.
